Terms of Service

Welcome to Hodlr. These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Stan SAS, a société par actions simplifiée registered in France (RCS Paris 944 823 020, registered office 60 rue François 1er, 75008 Paris) that operates the Hodlr website and services (the "Service", "Hodlr", "we", "us"). By creating an account or using any part of the Service, you accept these Terms in full. Please read them with our Privacy Policy, Cookie Policy and Legal Notice. If you do not agree, do not use the Service.
1. What Hodlr is
Hodlr turns a person's professional identity into a collectible trading card. You sign in with LinkedIn, and each person gets a Card. Cards come in five rarity tiers — Common (free, unlimited), Limited, Rare, Super Rare and Unique — and carry a public HodlScore built from peer Upvotes (endorsements) by other members.
The person a Card represents (the Subject) can set utility perks on higher tiers, such as a direct message, a call or an intro. Members can collect anyone's free Common Card, and buy or sell higher-tier editions on the Market, at a fixed price or by auction.
2. Definitions
Card — a digital collectible representing a Subject's professional identity, at one of five tiers (Common, Limited, Rare, Super Rare, Unique), with its season, edition number and any utilities.
Subject — the natural person a Card represents. Collector / holder — a member who holds a Card. Member / you — any registered user.
HodlScore — the public reputation signal shown on a Subject's profile, built from Upvotes and activity. Upvote — a public peer endorsement that feeds a Subject's HodlScore. Utility — a benefit a Subject attaches to a Card. Market — the place to collect, buy, sell and bid on Cards.
3. Real payments are not live yet
Real payments are not enabled yet. No charge is taken and no money changes hands. Prices, fees and royalties shown in the app preview how the Market will work once payments are switched on.
We will update these Terms and obtain any licences and registrations required before enabling real payments. Sections below that describe fees, royalties, payouts, identity verification and taxes explain how the Service will work when real payments are live, and do not apply until then.
4. Cards are collectibles, not investments
Cards are digital collectibles and access keys. They are not securities, shares, financial instruments or investment products, and they carry no promise of profit or future value.
A Card's value can go up or down, and past activity does not predict future value. The HodlScore is a social-proof signal — not a valuation, not a price and not investment advice. Please do not acquire a Card expecting a financial return. Nothing in the Service is financial advice.
5. Eligibility
You must be at least 18 years old, have the legal capacity to enter into a contract, and provide accurate, current and complete information.
Hodlr is currently available only in the United States, the United Kingdom and France; sign-up from other countries is blocked. You must not be subject to OFAC, EU or other applicable sanctions, and you must not use a VPN or other means to get around country, sanctions or eligibility restrictions.
6. Your account and signing in with LinkedIn
You sign in with LinkedIn. We use LinkedIn only as a sign-in and identity provider; we never scrape LinkedIn. You are responsible for keeping your LinkedIn account secure, since that is how you access Hodlr.
One account per person. You must not impersonate anyone, and you must not sell, transfer or share your account or any invite. You are responsible for activity under your account.
7. Your content and the licence you grant
You keep ownership of the photos, text and other content you upload. By uploading it, you grant Hodlr a worldwide, non-exclusive, royalty-free licence to host, display and use that content to operate and promote the Service — for example, to show it as part of your Card and public profile.
You must have the rights to the content you upload, and it must not be unlawful, infringing or misleading. You can edit or remove your content from your profile; some copies may remain in backups or in records we must keep (see "Card lifecycle, retirement and account closure").
8. If you are the Subject of a Card
If a Card represents you, you control it. You decide the utilities it unlocks and can change or withdraw them at any time. Withdrawing a utility may reduce the appeal of a Card; this is shown transparently.
You can retire your Card at any time. A retired Card keeps its ownership history — which we need to keep an accurate record of past trades — but loses its utilities. You can also request redaction of your identifying details from a Card under our Privacy Policy; the Card then remains as an anonymised collectible while its ownership history is preserved.
You must not manipulate the Market or HodlScore around your own Card — for example, by trading with accounts you control to inflate prices or scores.
9. Collecting, buying, selling and auctions
Any member can collect a Subject's free Common Card. Higher-tier editions can be listed on the Market by their holder, at a fixed price or by auction, and bought by other members. The applicable auction and resale rules (including any settlement window or cooldown) are shown in the app.
Until real payments are enabled, collecting, buying, selling, bidding and checkout take no payment and move no money. When real payments are live, a purchase is a binding agreement to pay the listed price, and placing the winning bid in an auction commits you to buy at that price.
We are a marketplace that connects buyers and sellers. A resale is a contract between the seller and the buyer; we are not the seller, except for collecting our fee and the Subject's royalty as described below.
10. Fees, royalties and payments
When real payments are live, payments will be handled by our regulated payment provider, Mangopay. We do not store your full card details.
On a sale, a platform fee of 7.5% and a royalty of 2.5% to the Subject are deducted from the seller's proceeds (10% in total). On a first (primary) sale by the Subject of their own Card, only the 7.5% platform fee applies. Buyers pay the listed price with no separate buyer fee.
None of these fees or royalties are charged until real payments are enabled. We will show fees clearly before you confirm any real transaction. Where currency conversion applies, the rate is the one applied by our payment provider at the time of settlement.
11. Identity verification and anti-money-laundering
Browsing, collecting free Cards and using the app today require only your LinkedIn sign-in.
When real payments are live, identity verification (a government-issued ID, and where needed proof of address and a liveness check) will be required just before your first cash-out or withdrawal, performed by Mangopay and an identity-verification provider. Enhanced checks (including source-of-funds questions) may apply above thresholds set by EU anti-money-laundering law (for example €1,000 and €10,000).
We may refuse, suspend or report activity, and withhold funds, where required to comply with anti-money-laundering or sanctions obligations.
12. Taxes
You are responsible for any taxes due on your activity. When real payments are live, Subjects and sellers who earn money may receive annual earnings statements to help with their own filings, and we will issue any tax forms required by law (for example a US 1099 above the applicable threshold, or apply VAT where required).
Hodlr is not a tax adviser and does not give tax advice.
13. HodlScore and rankings
The HodlScore is a reputation score calculated automatically from Upvotes and activity. It is provided for information only, it can change over time, and we do not guarantee its accuracy. It is not used to make decisions about credit, employment or insurance, and you can ask us to review it (see our Privacy Policy).
You must not try to manipulate the HodlScore, the Market or the leaderboard — for example through fake or controlled accounts, coordinated or paid Upvotes, bots, or wash trading. We may adjust or reset scores and listings affected by manipulation, with no refund for transactions already settled at market prices.
14. Acceptable use
You must not: impersonate any person or organisation, or misrepresent your name, title or company; manipulate the HodlScore or the Market (collusion, sock-puppet or paid endorsements, wash trading); upload illegal, infringing, harassing, threatening or defamatory content; use AI-generated or fake photos of a person; sell, transfer or share your account or invites; circumvent country, sanctions or eligibility restrictions; scrape, mass-extract or harvest data outside public access; attempt to break, overload or gain unauthorised access to the Service; or do anything that would cause Hodlr to breach applicable law.
We may remove content and suspend or close accounts that break these rules.
15. Impersonation and takedowns
Cards must represent real people honestly. If someone has created a Card or profile impersonating you, or content infringes your rights or breaks our rules, contact us at admin@stan-friends.com. Tell us what is affected, why, and how to reach you.
We review every report and take appropriate action, which may include removing content, retiring or redacting a Card, or closing an account.
16. Intellectual property
The Hodlr name, logo, card designs, holographic effects and the software behind the Service are owned by Stan SAS or its licensors and are protected by law. We grant you a limited, personal, non-transferable right to use the Service under these Terms.
Members keep their rights in their own content and, as Subjects, in their own name, likeness and professional details, and grant us the licence described above to display them. LinkedIn, Apple Pay, PayPal and other names and logos belong to their respective owners and are used only to identify their services. A company logo appears on a Card only where the company has agreed to it; otherwise only the company name is shown.
17. Third-party services
The Service relies on third parties, including LinkedIn (sign-in) and — when real payments are live — Mangopay (payments) and an identity-verification provider. Your use of those services is also subject to their own terms and policies. We are not responsible for third-party services we do not control.
18. Card lifecycle, retirement and account closure
Cards are designed to persist. We do not remove a Card except for fraud, unlawful conduct, abuse, a valid legal request, or at the request of its Subject (retirement or redaction, as described above).
You can close your account at any time from the Service. Closing your account removes your profile and Card, subject to the limits in our Privacy Policy (we keep limited records, such as ownership and trade history, where we are required or genuinely need to). When real payments are live, you should withdraw any balance before closing your account.
We may close an account that has been inactive for a long period after giving you reasonable notice by email and a window to reactivate or withdraw anything held in it.
19. Suspension and termination by us
We may suspend or close accounts that break these Terms, that we are required to act on by law, or that pose a risk to the Service or other members. Some records — such as ownership and trade history, and records we must keep by law — may be retained after closure for audit and legal reasons.
20. Disclaimers
Hodlr is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure, or that the HodlScore or any content is accurate or complete. This does not affect mandatory rights you have as a consumer.
21. Limitation of liability
To the fullest extent permitted by law, Stan SAS is not liable for indirect, incidental, special or consequential losses, or for loss of profits, data or goodwill, arising out of or in connection with the Service. Our total liability for any claim is limited to the greater of (i) the amount you paid us in the 12 months before the claim, or (ii) €100.
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or any consumer rights that cannot be waived.
22. Indemnity
To the extent permitted by law, you agree to indemnify and hold Stan SAS harmless from claims, losses and reasonable costs arising out of your breach of these Terms, your content, or your misuse of the Service.
23. Your right to cancel (consumers)
If you are a consumer in the EU, the UK or another jurisdiction with a legal withdrawal right, you generally have 14 days to cancel an online order. This applies once real payments are live.
Because Cards, utilities and similar items are digital content delivered immediately, at the time of a purchase you will be asked to expressly consent to immediate delivery and to acknowledge that you therefore lose your 14-day right of withdrawal for that purchase. Without that consent, the purchase will not proceed. We will confirm your consent by email.
24. Governing law and disputes
These Terms and your use of the Service are governed by French law. If you are a consumer, you also keep the mandatory protections of the law of your country of residence, including, in France, the French Code de la consommation.
We want to resolve any problem with you directly first — please contact admin@stan-friends.com. If you are a consumer in France, you may, after contacting us, refer an unresolved dispute (less than one year old) to a consumer mediator (médiateur de la consommation). If you are a consumer in the EU, you may also use the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
For disputes not subject to arbitration (see the next section) and not covered by mandatory consumer rules, the courts of Paris, France have jurisdiction; EU consumers may also bring proceedings in their country of residence.
25. Arbitration for users in the United States
Please read this section carefully — it affects your legal rights. If you reside in the United States, you and Hodlr agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with one arbitrator, seated in New York, in English, and governed by the Federal Arbitration Act. You and Hodlr waive the right to a jury trial and to participate in a class action.
This does not apply to small-claims matters, intellectual-property claims, or requests for injunctive relief, and it does not stop you from contacting a government agency. Most disputes can be resolved first by contacting us; if not resolved within 30 days, either party may start arbitration. If the relief sought is $75,000 or less, Hodlr will pay the AAA fees at your request.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing admin@stan-friends.com (or writing to our registered office) with your name, account email and a clear statement that you opt out. California residents may also contact the California Department of Consumer Affairs, Complaint Assistance Unit, 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834.
26. Changes to these Terms
We may update these Terms as the Service evolves — for example, when we enable real payments. We will update the "last updated" date and, for significant changes, give notice through the Service or by email. If you keep using Hodlr after a change takes effect, you accept the updated Terms.
27. General
If any part of these Terms is held unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor entity (for example in a merger or sale), with notice. We give notices by the email on your account. These Terms are the entire agreement between you and us about the Service.
